1. Acceptance of Terms
Welcome to DeedShare.
These Terms of Service (“Terms”) govern your access to and use of the DeedShare mobile application, website, and related services (collectively, the “Services”) operated by DeedShare Inc. (“DeedShare,” “Company,” “we,” “our,” or “us”).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
2. Eligibility
You must be at least eighteen (18) years old to use the Services.
By using the Services, you represent and warrant that:
- You are at least 18 years old.
- You have the legal capacity to enter into binding agreements.
- Information you provide is accurate and complete.
- You will comply with all applicable laws and regulations.
3. Description of Services
DeedShare provides software tools designed to help users organize, communicate, collaborate, and coordinate through groups known as “Power Circles.”
Power Circles are intended to facilitate networking, education, planning, relationship-building, and community coordination among users.
DeedShare may provide features including:
- User profiles
- Power Circle creation
- Invitations and referrals
- Group communication tools
- Interest and preference tracking
- Educational content
- Community engagement features
Services may change, expand, or be discontinued at any time.
4. No Investment Activity
The current version of DeedShare does not facilitate:
- Securities offerings
- Investment transactions
- Capital raising
- Escrow services
- Money movement
- Brokerage services
- Custody services
- Investment management services
No funds are accepted, held, transferred, invested, pooled, or managed through the current version of the platform.
Participation in a Power Circle does not create ownership rights, investment rights, partnership interests, membership interests, or any legal claim to assets.
5. No Investment Advice
DeedShare is a technology platform.
DeedShare is not:
- A registered investment adviser
- A broker-dealer
- A funding portal
- A bank
- A lender
- A financial institution
Nothing contained within the Services constitutes:
- Investment advice
- Financial advice
- Legal advice
- Tax advice
- Securities recommendations
- Endorsements of investment opportunities
Users are solely responsible for evaluating any decisions they make based on information obtained through the Services.
6. User Accounts
To access certain features, users must create an account.
You agree to:
- Provide accurate information
- Maintain accurate information
- Safeguard your account credentials
- Maintain control of your mobile device
- Promptly notify us of unauthorized use
You are responsible for all activity occurring under your account.
7. Contacts and Invitations
Users may choose to invite others to the platform.
By using invitation features, you represent that:
- You have authority to contact the individuals invited.
- Invitations will not violate applicable laws.
- Invitations will not be used for spam, harassment, or abusive conduct.
DeedShare reserves the right to limit, suspend, or disable invitation functionality.
8. User Content
Users may submit content through the Services, including:
- Profile information
- Group information
- Comments
- Messages
- Images
- Feedback
- Other materials
You retain ownership of content you submit.
By submitting content, you grant DeedShare a non-exclusive, worldwide, royalty-free license to use, display, store, reproduce, and distribute such content solely for operating and improving the Services.
9. Prohibited Conduct
You agree not to:
- Violate laws or regulations
- Impersonate another person
- Provide false information
- Engage in fraud or deceptive conduct
- Interfere with platform security
- Attempt unauthorized access
- Upload malicious code
- Harass, threaten, or abuse others
- Use the Services for unlawful activities
- Solicit investments through the platform in violation of applicable law
- Circumvent platform safeguards
10. Future Investment Services
DeedShare may introduce investment-related functionality in future versions of the platform.
Access to such functionality may require:
- Additional agreements
- Identity verification
- Regulatory disclosures
- Suitability reviews
- Compliance procedures
- Third-party service providers

11. Intellectual Property
The Services, including all software, branding, logos, content, designs, trademarks, and technology, are owned by DeedShare or its licensors.
No rights are granted except as expressly stated in these Terms.
12. Suspension and Termination
DeedShare may suspend, restrict, or terminate access to the Services at any time, with or without notice, if:
- These Terms are violated
- Fraud is suspected
- Security concerns arise
- Required by law
- Necessary to protect users or the platform
Users may discontinue use at any time.
13. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEDSHARE DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY
- RELIABILITY
- AVAILABILITY
DEEDSHARE DOES NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEEDSHARE, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:
- INDIRECT DAMAGES
- INCIDENTAL DAMAGES
- SPECIAL DAMAGES
- CONSEQUENTIAL DAMAGES
- LOSS OF PROFITS
- LOSS OF DATA
- LOSS OF OPPORTUNITY
ARISING FROM OR RELATED TO USE OF THE SERVICES.
15. Indemnification
You agree to indemnify and hold harmless DeedShare and its affiliates from claims, damages, liabilities, costs, and expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your violation of applicable law
- Your interactions with other users
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.
17. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall first be submitted to informal negotiations.
If a dispute cannot be resolved informally, the parties agree to submit the dispute to binding arbitration, except where prohibited by law.
Nothing in this section prevents either party from seeking injunctive relief when appropriate.
18. Changes to Terms
We may modify these Terms from time to time.
Updated Terms will be posted through the Services and become effective upon posting unless otherwise stated.
Continued use of the Services constitutes acceptance of revised Terms.
